Sr Paralegal - Corporate Governance

This position will assist and provide support to the Associate General Counsel and Assistant Secretary on all matters relating to the corporate secretarial functions for a public company, including corporate governance, SEC reporting, board matters, subsidiary management and general corporate legal matters.

Duties and Responsibilities:

·Maintain a database of the books and records of the Company and its subsidiaries, including organizational documents, board and management committee charters, and other governance documents.

·Support board and committee matters and administration, including:

vManage all administrative elements of Aaron’s board portal

vMaintain board and committee minute books and board files

vOrganize the board and committee calendar and schedule in conjunction with the Executive Assistant to the CEO and CFO and the Executive Assistant to the General Counsel

vAssist in the preparation of agendas and the preparation, coordination and distribution of board materials

·Support management committee matters and administration including by maintaining a portal of management committee files and supporting committee chairs in their record-keeping responsibilities.

·Support insider trading compliance program, including assisting with managing blackout dates and covered persons lists.

·Coordinate and manage administrative elements of corporate governance training for board members and officers.

·Assist in communicating and training on changes to corporate governance documents and procedures, including managing updates to the Investor Relations website related to corporate governance.

·Coordinate administration of various board oversight processes, such as board and committee self-assessment process, director recruiting and onboarding processes, director compensation, D&O questionnaire, etc.

·Assist with various matters in connection with the company’s public disclosures, including the annual report on Form 10-K and other periodic filings with the SEC.

·Support for the Company’s Annual Shareholders Meeting including “rolling forward” initial draft of proxy statement and incorporating comments, assist in managing annual report/proxy statement printing and mailing process, and coordination regarding meeting logistics.

·Work collaboratively with key internal departments including Financial Reporting, Compensation and Benefits, Tax, Treasury and Investor Relations.

·Conduct research and draft legal and other documentation as applicable.

·Assist with various other responsibilities as assigned by the Associate General Counsel.

Education and Experience:

·Bachelor’s degree or certificate from an approved paralegal program

·Experienced (10+ years) U.S. public company/corporate/SEC paralegal

·Significant in-house and /or law firm experience aligned with the key responsibilities of the position

·Be flexible and work well independently in a fast-paced, deadline-driven environment

·Demonstrated ability to engage and communicate comfortably and effectively with individuals in a wide range of levels throughout the organization

·Excellent written and verbal communication skills

·Tech savvy; comfortable with administration of SharePoint and other electronic platforms

·Excellent PC skills, including strong knowledge of Microsoft Office products.
